1. DATES

a. The O-ROCK 105.9, Universal Orlando and Miller Lite “Live & Local Music Series” (the “Contest”) will begin at approximately 10am (ET) on 6/26/2007 and end on 9/3/2007 at 12am (ET).

b. Please see below for details on how to participate in the contest.

2. ELIGIBILITY RESTRICTIONS

a. The Contest is open to all WOCL listeners who are 21 years of age or older as of 6/26/07, reside in the Central Florida listening area, and possess valid government issued Florida photo ID. Employees of the Miller Brewing Company, Universal Orlando, WOCL (the “Station”), its licensee, its corporate parents, subsidiaries, and affiliates, its advertising agencies, participating sponsors/promotional partners, other radio stations in the Orlando metropolitan area and the members of their immediate families and/or households are ineligible to participate or win.

b. All contestants must be members of an unsigned, amateur music band (no label affiliation, either local or national). Neither the band nor any individual member of the band may be signed to a fully executed record label contract. Any contestant found to be signed to a record label contract will be disqualified from the contest. All participants must be amateur, not professional musicians (those whose primary means of support is playing music).

c. A band with a member who won a prize in a contest conducted by the station within the last ninety (90) days or a prize valued at $600 or more within the last six (6) months of entry in this contest is ineligible to participate or win. Only one winner per household is permitted in any Station contest.

d. All contestants will be required to sign a participant release form in order to register for participation in the contest.

3. REGISTRATION

a. To participate in the Contest, bands or artists must come by Pat O’Brien’s Barin Universal CityWalk , Orlando, Florida) during designated collection periods to obtain and complete registration forms, drop off Demo CDs (see below for details), and sign participant releases by the following registration deadlines:

1. Fridays, July 6th and 13th, 2007 from 6pm to 8pm EST (to be included in the July finalist selection)
2. Fridays, August 3rd and 10th, 2007 from 6pm to 8pm EST (to be included in the August finalist selection)

b. Each participating band/artist must submit a maximum of one (1) CD of their originally performed music (the “Demo CD”) with a minimum of 3 songs. Each song must be at least two minutes in length. To be eligible for consideration in the competition, each band member must provide the Station with their full names (first and last), their respective addresses, including zip codes, telephone numbers, dates of birth, and a valid e-mail address on the registration form(s). Contestants will also be required to sign a participant release form at the time of registration.

c. Demo CDs must be of an original performance by the band/artist in its entirety. The Station, in its sole discretion, will disqualify any Demo CDs that contain material other than an original performance by the band. All Demo CD entries and their content will become the property of the Station and will not be returned. The Station will destroy demo CDs at the end of the promotion.

d. Demo CDs must not contain any materials that may be restricted, prohibited or outlawed by federal, state or local laws. Demo CDs must be “radio clean.” The Station, in its sole discretion, reserves the right to disqualify any Demo CD if such audio submission contains illegal, indecent or otherwise offensive material, or if such Demo CD contains material whose content is deemed, at the sole discretion of the Station, to be unsuitable for public performance or broadcast on the Station.

e. A maximum of one (1) Demo CD (one entry) per participating band is permitted. Contestants may participate as a member of only one (1) band.

f. The station is not responsible for lost, stolen, mangled, misdelivered, illegible, incomplete or late entries.

4. FINALIST SELECTION

a. Decisions of the Station staff with respect to the Contest are final.

b. On July 13 and August 10, station staff will collect and review each eligible Demo CD received by that month’s registration deadline and will select twelve (12) bands (finalists) to be posted online for listener voting each month during the weeks of 6/26/07, 7/16/07 and 8/13/07. Entries of bands that are not chosen as finalists will roll over into the next month’s pool of entries Entries of finalists not chosen as winners will not be considered again The finalists will be selected solely at the discretion of Station staff reviewing the Demo CD entries based on the same criteria used to pick music for the station including whether the music fits with the Station’s play list and format Alternative Modern Rock. The Station’s staff will judge overall quality sound of the band based on the criteria we use to add songs to the Station’s playlist. Ties will be broken based on the discretion of the Station’s Program Director. The twelve finalists will be notified via phone by a member of the Station’s Promotions Department on July 16th at approximately 11am EST and August 13th at approximately 11am EST and will need to submit either a web address or online performance featuring their band performing a minimum of 3 songs. All finalists will have to submit a demo of their performance in order to be considered for the grand prize. Once the 12 finalist have been selected by the station, online voting will take place to select each month’s winner. The bands’ Demo CD’s will be posted on the internet at www.orock1059.com. Voting for the July finalists will take place from 7/16/07 at 12pm EST to 7/20/07 at 12am EST, and voting for the August finalists will take place from 8/13/07 at 12pm EST to 8/17/07 at 12am EST. Only one vote per person please. After each month’s voting deadline has ended, the station will tally up each finalist’s online votes and the band that receives the most votes will be deemed that month’s winner and Mel’s Favorite band for the weeks of 7/23/07 and 8/20/07. As a featured band on Mel’s Favorite Band, the winner will have one song from their demo played each night, Monday, Tuesday, Wednesday and Friday at 8:45pm EST. Each night it will be the same song. On Thursday night of that week, the band will be invited to the Station to be interviewed by Mel and play a song of their choice acoustically live on the air. Each month’s winner will be notified on 7/23/07 and 8/20/07 at approximately 4pm EST (via phone by a member of the Station’s Promotions Department) and their Demo CDs will once again be posted online at www.orock1059.com. Listeners will then be able to vote for their favorite band out of the two. Online voting will take place from 8/27/07 at approximately 12pm EST to 9/3/07 at 12am EST. Only one vote per person please. On 9/4/07 at 11am EST, the station will once again tally all the online votes to determine the grand prize winner. The grand prize winner will be notified via phone by a member of the Station’s Promotions Department on 9/5/07 at 11am EST.

c. The grand prize winner will also be announced September 7th between 7 and 10pm ET at a live broadcast from Pat O’Brien’s with Mel Taylor.

d. Odds of winning a prize depend in part upon the number of eligible entries received.

e. Winners need not listen or be present to win.

f. Winners must execute and return any required Affidavit of Eligibility/Release of Liability Prize Acceptance Form within ten (10) days of notification or prize may be forfeited and the finalist with the next highest number of votes may win in his/her place.

5. PRIZES

a. Two (2) Prizes: The winning band of each month will be given the opportunity to play the opening 45 minute set for the Orange Avenue show at CityWalk on July 27th, August 24th and September 7th, at 7:00-7:45 EST each night.

b. One (1) Grand Prize: The grand prize winning band will be given the opportunity to play the opening set at O-ROCK 105.9’s 7th Birthday Bash at Hard Rock Live Date and time TBD.

c. There is no substitution, transfer or cash equivalent for prizes, except that sponsor may, at its sole discretion, substitute prizes of comparable value or cash. The prizes are expressly limited to the items listed above and do not include taxes, gratuities or any other expenses. Other restrictions may apply.

6. CONDITIONS

a. Payments of all federal, state and local taxes are solely the responsibility of the winners. Winners may be required to sign an IRS Form W-9 or the equivalent.

b. By participating in the Contest, Finalists and winner(s) agree to have their name, voice, or likeness used in any advertising or broadcasting material relating to this contest without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.

c. By participating in the Contest, Finalists and winner(s) agree to hold Universal Orlando, Miller Brewing Company, the Station, its corporate licensee, its parent, subsidiary and affiliated corporations, and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the contest, and may be required to sign a liability release agreeing so.

d. The Station reserves the right to make changes in the rules of the contest, including the substitution of a prize or equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of the Station, any competition or prize-related event is delayed, rescheduled, postponed, cancelled, or has a change of venue, the Station reserves the right, but not the obligation, to cancel or modify the contest and shall not be required to award a substitute prize.

e. Failure to comply with the contest rules may result in a contestant’s disqualification solely at the discretion of the Station.

f. The Station is not responsible for typographical or other errors in the printing, the offering or the administration of the contest, or in the announcement of a prize.
