1. DATES

a. The O-ROCK 105.9 “Band’s Big Break” (the “Contest”) will begin on 10/29/2007 at 9am (EST) and end on 11/17/2007 at 12am (EST).

2. ELIGIBILITY RESTRICTIONS

a. The Contest is open to all WOCL listeners who are 15 years of age or older, reside in the Central Florida area, and possess valid government issued photo ID. Employees of MetroPCS, WOCL (the “Station”), its licensee, its corporate parents, subsidiaries, and affiliates, its advertising agencies, participating sponsors/promotional partners, other radio stations in the Orlando metropolitan area and the members of their immediate families are ineligible to participate or win.

b. Contestants may be solo artists or members of a music band.

c. In order to be eligible for consideration, contestants must sign a participant release. Contestants under the age of 18 will be required to (i) have their parents/legal guardians sign a participant release on their behalf, and (ii) have their parents/legal guardians accompany them during the competition/final stage of the Contest.

d. All contestants must be unsigned (no label affiliation, either local or national). Neither the band nor any individual member of the band may be signed to a fully executed record label contract. Any contestant found to be signed to a record label contract will be disqualified from the contest. All participants must be amateur, not professional singers (those whose primary means of support is singing).

e. Only one winner per household is permitted in any Station contest.

3. REGISTRATION

a. To participate in the Contest, contestants must register as a band or solo artist by (1) completing an official entry form (available onsite, while supplies last), (2) completing and signing publicity releases from all band members (available onsite, while supplies last), and (3) put the completed entry forms and signed publicity releases with their Demo CDs and drop them off in the O-ROCK 105.9 “Band’s Big Break” official drop off box at participating MetroPCS locations listed below by the registration deadline during their business hours. The registration deadline is 11/8/2007 at 5pm.

b. Each participating band/artist must submit a maximum of one (1) CD of their originally performed music (the “Demo CD”) with a minimum of 3 songs. Each song must be at least two minutes in length. To be eligible for consideration in the competition, each band member must provide the Station with their full names (first and last), their respective addresses, including zip codes, telephone numbers, dates of birth, and a valid e-mail address on the registration form(s). Contestants will also be required to sign a participant release form at the time of registration.

c. Demo CDs must be of an original performance by the band/artist in its entirety. The Station, in its sole discretion, will disqualify any Demo CDs that contain material other than an original performance by the band. All Demo CD entries and their content will become the property of the Station and will not be returned.

d. Demo CDs must not contain any materials that may be restricted, prohibited or outlawed by federal, state or local laws. Demo CDs must be “radio clean.” The Station, in its sole discretion, reserves the right to disqualify any Demo CD if such audio submission contains illegal, indecent or otherwise offensive material, or if such Demo CD contains material whose content is deemed, at the sole discretion of the Station, to be unsuitable for public performance or broadcast on the Station.

e. A maximum of one (1) Demo CD (one entry) per participating band is permitted. Contestants may participate as a member of only one (1) band.

f. The station is not responsible for lost, stolen, mangled, misdelivered, illegible, incomplete or late entries.

4. FINALIST SELECTION

a. Decisions of the Station staff with respect to the Contest are final.

b. On 11/9/07 station staff will review each eligible Demo CD received by the registration deadline and will select three (3) bands/artists to be finalists (the “Finalists”). Finalists will be selected solely at the discretion of Station staff reviewing the Demo CD entries based on the same criteria used to pick music for the station (i.e. whether the music fits with the Station’s playlist and format). Two songs by each Finalist will be listed online. The station will allow each Finalist to determine which two songs they would like to be listed online for voting.

c. Online voting will take place to determine the Grand Prize Winner from the 3 finalists chosen by the station. Online voting will begin on 11/12/07 at 5:30am EST and will end on 11/16/07 at approximately 12am EST. Only one internet vote per person and per email address. All voters must electronically submit their names, e-mail addresses, and dates of birth for verification purposes. Judging will be based on the number of online votes. For purposes of these Official Rules, “receipt” of an online vote occurs when www.orock1059.com servers record the entry information upon clicking the “Vote” button. Any automated computer receipt (such as one confirming delivery of e-mail) does not constitute proof of actual receipt by the www.orock1059.com of an online entry for purposes of these Official Rules. Internet votes will be deemed made by the authorized account holder of the e-mail address submitted at the time of voting. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization that is responsible by assigning e-mail addresses or the domain associated with the submitted e-mail address. After the voting deadline has ended, the station will tally up each finalist’s online votes and the band that receives the most votes will be deemed the Grand Prize Winner and will be the opening act for the No Snow Show 4 on 11/27/07 at the House of Blues.

5. WINNER SELECTION

a. The Grand Prize Winner will be notified by a member of the Promotions Department on 11/19/07 by 11am (EST). The Grand Prize Winner will have until 11/20/07 at 11am (EST) to confirm their participation in the show. If the Grand Prize Winner does not confirm their participation in the show by 11/20/07 at 11am (EST), WOCL will choose the 2nd place winner and the Grand Prize Winner will be disqualified.

b. Odds of winning depend upon the amount of entries received.

c. Winners need not listen or be present to win.

d. Winners must execute and return any required Affidavit of Eligibility/Release of Liability Prize Acceptance Form within one (1) day of notification or prize may be forfeited and the finalist with the next highest number of votes may win in his/her place.

6. PRIZES

a. One (1) First Prize: The winning band/artist will be given the opportunity to play the opening 30 minute set at the O-ROCK 105.9 No Snow Show on 11/27/07 at House of Blues. In the event the winning band cannot perform, they will be replaced with the 2nd place band from the online voting process. Band will be notified of all details about performance at the time of winning notification.

b. There is no substitution, transfer or cash equivalent for prizes, except that sponsor may, at its sole discretion, substitute prizes of comparable value or cash. The prizes are expressly limited to the items listed above and do not include taxes, gratuities or any other expenses. Other restrictions may apply.

7. CONDITIONS

a. By participating in the Contest, Finalists and winner(s) agree to have their name, voice, or likeness used in any advertising or broadcasting material relating to this contest without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.

b. By participating in the Contest, Finalists and winner(s) agree to hold the MetroPCS, the Station, its licensee, parent, subsidiary and affiliated corporations, and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the contest.

c. The Station reserves the right to make changes in the rules of the contest, including the substitution of a prize or equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of the Station, any competition or prize-related event is delayed, rescheduled, postponed or cancelled, the Station reserves the right, but not the obligation, to cancel or modify the contest and shall not be required to award a substitute prize.

d. Failure to comply with the contest rules may result in a contestant’s disqualification solely at the discretion of the Station.

e. The Station is not responsible for typographical or other errors in the printing, the offering or the administration of the contest, or in the announcement of a prize.
